The guarantee structure is where a vendor’s confidence becomes contractual. The guarantees worth asking for: delivery to spec (the placement matches what was approved — publisher, page, anchor, target), the quality floor (the qualification standard stated in the document, not in a call), and link survival — the monitoring-and-replacement term that says every link is checked for a defined period (twelve months is the defensible standard) and replaced free if it drops. The refund clauses: what triggers them (placement not delivered, delivered off-spec and uncorrected) and what doesn’t (rankings not moving — no honest vendor guarantees what engines control).

The terms that protect both sides: approval workflows with default-by-deadline (so neither party stalls the calendar), fee disclosure per placement (the client knows what was paid to whom), the reporting standard (every figure traceable to a URL), and the ownership question — who owns the publisher relationships and the content (a plan the client paid for should be the client’s to keep). The red flags read inverse: guarantees of rankings or timelines (selling engines’ decisions), “guaranteed placements” with no stated floor (the bulk market with paperwork), replacement windows so short they expire before links die, and silence on fees.

The negotiation principle: guarantees are priced — a vendor offering survival guarantees at a flat rate has built the cost of monitoring and replacement into the price, and that price is the honest one; the cheap quote without guarantees is the expensive one in month nine.
